Wholesale Credit Terms

Wholesale Credit Terms and Conditions

Adriatic Ship Supply & Trading Company (Pty) Ltd (registration number 1970/006033/07), Stand 88/89 Newton Street, Meadowdale Ext 3, Johannesburg, 2001. Email: [email protected]. Telephone: 0800 007 030.

Version 20 October 2026. These terms apply only once a wholesale credit facility has been approved in writing. They do not apply to ordinary prepaid purchases, which are covered by our Terms and Conditions.

1. Who these terms are between

The supplier and creditor is Adriatic Ship Supply & Trading Company (Pty) Ltd (“Adriatic”, “we”, “us”). The customer is the business named in the approved credit application (“Customer”, “you”). No other related company is a party unless we have told you so in writing.

These terms govern approved wholesale credit purchases and supplement our Terms and Conditions for website access and ordinary prepaid sales. Where the two conflict on a credit-payment matter, these terms apply, subject to any law that cannot be excluded.

An order is an offer. We may accept or decline it. Availability, pricing, delivery and order acceptance remain subject to our written confirmation, and we may correct an obvious error before accepting an order.

2. Applying for an account and approval

Completing or submitting an application is not an offer of credit by us, and it does not approve anything. We may check identity, authority, trade references and financial standing using lawful sources.

A credit facility only takes effect once we confirm it in writing, stating the approved customer, credit limit, credit period (7 or 14 days, or 30 days by private approval only), start date, and any security we require. Approval may depend on a properly signed suretyship.

We may review or reduce an unused limit, pause new orders, or withdraw future credit on reasonable notice. This never changes what you already owe on orders already accepted. Any change to approved terms needs written sign-off from an authorised person at Adriatic.

3. Orders, price and tax

Prices are in South African rand and clearly show whether VAT is included, as stated on the accepted quote or order. Delivery and other charges are only payable if you accepted them.

Every invoice shows our details, your details, the goods, the price, VAT where it applies, the invoice date, the due date and a reference. Tell us in advance if you need a purchase-order number on your invoices.

4. Payment, disputes and interest

Payment is due within the number of days your account was approved for, counted from the invoice date, unless we agreed otherwise in writing. Payment must be in cleared funds to bank details you have independently verified with us. You may not deduct or set off amounts yourself, except where the law requires it.

If you dispute an invoice, tell us promptly with reasonable detail. A dispute does not delay payment of the amounts you are not disputing.

No interest is currently charged on an overdue balance. If this changes, the rate and basis will be recorded in your facility approval before it applies, and we will never apply compound interest or an unapproved default fee.

5. Delivery, risk and ownership

Delivery arrangements, charges and expected timing are set out in your accepted order. Risk in the goods passes to you (or whoever you nominate to receive them) once they are actually delivered.

Ownership of goods supplied on credit stays with Adriatic until they are paid for in full. You must not present unpaid goods as unencumbered.

Please inspect goods within a reasonable time and tell us promptly about shortages, damage or defects, without affecting any right you have under the Consumer Protection Act.

6. If payment falls behind

If a payment is overdue, or information you gave us turns out to be false, we may pause further credit orders (after any notice the law requires), ask for payment of what is already due, and take lawful steps to collect it. We will never seize goods ourselves without a court process where one is required.

7. Security and suretyship

We may ask for one or more signed deeds of suretyship from named individuals. Completing a credit application is not, by itself, a personal guarantee by anyone. A suretyship only takes effect once it is validly signed in the way the law requires — see our suretyship step for how we handle this.

8. Credit law and consumer law

Where the National Credit Act or the Consumer Protection Act applies to your account, those Acts take priority over anything in these terms that would conflict with them. If any part of these terms turns out to be unlawful, only that part falls away; the rest keeps applying.

9. Your information

We use your information to assess and run your account, check credit references, prevent fraud, and meet our legal obligations. Full detail is in our Privacy Policy.

10. Accepting these terms online

You can accept these terms with a clear, affirmative action on our website, after you have had the chance to read the full text and correct any mistakes. We keep a record of the version you accepted, when, and your application reference. Accepting these terms is not the same as signing a deed of suretyship — those have their own, separate signing process.

11. Notices, law and disputes

We will use the address and email you gave us in your application for ordinary notices. South African law governs these terms, and nothing here overrides a right you have under consumer law. No delay or indulgence on our part gives up any of our rights.

We may update these terms from time to time. The version in effect when your account was approved continues to apply to that approval unless we agree a change with you in writing.
